TERMS OF SERVICE

These Terms of Service ("Terms") form a legally binding agreement between you and Love Invoicing Ltd, a company incorporated in England and Wales (Company No. 16938438).

By accessing or using the Love Invoicing platform, you agree to be bound by these Terms.

If you do not agree, you must not use the Service.

1. SERVICE DESCRIPTION

Love Invoicing is a cloud-based Progressive Web Application (PWA) that provides invoicing, quoting, customer management (CRM), job tracking, delivery management, and related business tools for tradespeople and small businesses.

Features may include:

  • Creation and sending of invoices and quotes
  • Customer and contact management
  • Inventory tracking
  • Job and delivery tracking
  • PDF generation and email dispatch
  • Offline access to limited data
  • Push notifications
  • Stripe integration for payments

We may update, enhance, modify, or discontinue features at any time.

2. ELIGIBILITY

You must:

  • Be at least 18 years old
  • Have legal capacity to enter into contracts
  • Use the Service for lawful business purposes only

If registering on behalf of a business, you confirm you have authority to bind that business.

3. ACCOUNT REGISTRATION

You are responsible for:

  • Maintaining confidentiality of login credentials
  • All activity under your account
  • Providing accurate and current information

We may suspend accounts suspected of unauthorised use.

4. SUBSCRIPTION & FEES

4.1 Paid Plans

Love Invoicing operates on a subscription basis. Fees are displayed at signup. Subscriptions may include a base subscription fee and additional user seat fees.

4.2 Billing

Payments are charged in advance and may renew automatically unless cancelled. You authorise us to charge your payment method.

4.3 Failed Payments

If payment fails, access may be restricted and we may suspend your account.

4.4 Taxes

You are responsible for all applicable taxes related to your business.

5. STRIPE & PAYMENT PROCESSING

Important: Direct Payment Processing

Love Invoicing does not process or store customer payment data.

If you connect Stripe, payments go directly to your Stripe account. You are solely responsible for refunds, disputes, and compliance. You must comply with Stripe's terms. We are not responsible for payment disputes or chargebacks.

6. USER RESPONSIBILITIES

You agree not to:

  • Use the Service for unlawful purposes
  • Upload illegal, fraudulent, or infringing content
  • Attempt to reverse engineer the platform
  • Interfere with platform security
  • Misrepresent financial information

You are solely responsible for:

  • Accuracy of invoices and tax calculations
  • Compliance with applicable laws
  • Customer data entered into the platform

7. DATA OWNERSHIP

You retain ownership of all business data you upload.

You grant us a limited licence to process your data solely to provide the Service.

Data is handled in accordance with our Privacy Policy.

8. DATA PROTECTION & INTERNATIONAL COMPLIANCE

We process personal data in accordance with:

  • UK GDPR
  • EU GDPR (where applicable)
  • Australian Privacy Act
  • Canadian PIPEDA
  • US state privacy laws (where applicable)
  • New Zealand Privacy Act
  • India Digital Personal Data Protection Act

9. SERVICE AVAILABILITY

The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted service, error-free operation, or continuous uptime. We may suspend access for maintenance or security reasons.

10. INTELLECTUAL PROPERTY

All rights, title, and interest in the platform remain the property of Love Invoicing Ltd. You may not copy, distribute, modify, resell, or reverse engineer except as permitted under these Terms.

11. TERMINATION

11.1 By You

You may terminate your account at any time.

11.2 By Us

We may suspend or terminate your account for breach of Terms, illegal activity, non-payment, or abuse of the Service.

11.3 Data Deletion

Upon termination, your data may be deleted after 30 days. You are responsible for exporting data before closure.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Love Invoicing shall not be liable for loss of profits, revenue, business, data, or indirect/consequential damages.

Our total liability shall not exceed the total fees paid by you in the 12 months preceding the claim.

Nothing in these Terms excludes liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot legally be excluded

13. INDEMNITY

You agree to indemnify and hold harmless Love Invoicing from any claims arising from your use of the Service, your business operations, your customer disputes, or your violation of law.

14. PROFESSIONAL DISCLAIMER

Professional Advice Disclaimer: Love Invoicing does not provide legal, financial, accounting, or tax advice. You must consult qualified professionals for regulatory or tax matters.

15. FORCE MAJEURE

We are not liable for failure to perform due to events beyond our reasonable control, including natural disasters, internet outages, government actions, or cyber attacks.

16. GOVERNING LAW

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. Where mandatory consumer protection laws apply in your country of residence, those rights remain unaffected.

17. CHANGES TO TERMS

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice. Continued use of the Service constitutes acceptance.
